Wholesale Terms & Conditions
My Mahjong Trove
Effective Date: October 12, 2026

These terms and conditions ("Agreement") govern the wholesale partnership between the Retailer ("Retailer") and My Mahjong Trove ("Brand") and apply to all wholesale orders unless a separate written agreement is signed by both parties.

1. Retailer Eligibility and Brand Alignment
To qualify for a wholesale account, retailers shall maintain a retail business selling to end consumers. We prioritize brick-and-mortar gift, home decor and game stores that align with our brand values of quality and brand integrity.
We reserve full discretion to approve or reject wholesale applications. Proof of retail storefront or resale certificate may be requested during review.

2. Order Minimums
Order Minimum: $200 USD

3. Pricing & Payment
Wholesale price is 60% of MSRP (Manufacturer’s Suggested Retail Price).
All prices are quoted in USD. Price changes will be notified with a minimum 30 days written notice.
Accepted payment: Credit Card.
All wholesale orders require full prepayment before shipment.

4. Shipping & Delivery
Retailer is responsible for all shipping fees.
Orders under $1000: flat shipping rate $30.
Orders will ship within 5–10 business days after full payment is received.
The Brand is not liable for shipping delays once goods leave our warehouse.
Wholesale shipments must be delivered to a retail store or warehouse address unless prior written approval is granted.

5. Returns, Damages & Claims
All wholesale sales are final.
Damaged, missing or defective items must be reported within 7 calendar days of delivery, with clear photo evidence.
Claims must be submitted in writing via email to wholesale@mymahjongtrove.com. Approved claims will be resolved via product replacement or store credit, at the Brand’s discretion.

6. Minimum Advertised Price (MAP) & MSRP Policy
This policy protects brand value and fair competition. All authorized Retailers must comply fully.

6.1 MSRP
MSRP is the official suggested retail price set by My Mahjong Trove.
All public advertising of our products must display MSRP unless the Brand gives written permission for a discount.
This applies to websites, social media, ads, email marketing and printed materials.

6.2 MAP Rule
The Minimum Advertised Price is equal to MSRP, unless a temporary written promotional exception is issued by the Brand.
Retailers shall NOT publicly advertise our products below MSRP without explicit written approval.

6.3 Online Sales Restrictions
Retailers may not advertise or list our products online at prices below MSRP, without written authorization for specific promotions.
This restriction covers website listings, social posts, paid ads, email campaigns and online coupon codes.
Private in-store / phone discounts are allowed, but all public online pricing must stay at MSRP.

6.4 Enforcement
• First violation: Formal written warning
• Continued non-compliance: Immediate termination of wholesale account
The Brand reserves the right to adjust MAP terms, with written advance notice to retailers.

7. Brand Assets Usage
Retailer may use approved official product photos, videos and descriptions solely for selling our wholesale products.
Altering logos, artwork, packaging or product images is strictly prohibited.

8. Territory & Exclusivity
No territory exclusivity is guaranteed unless stated in a separate signed written agreement. We do not offer zip-code protected territories.

9. Order Cancellation & Modifications
Orders can only be changed or canceled if the request is received within 48 hours after order submission AND before shipment.
We reserve the right to set quantity limits per order / per account during high demand periods.

10. Right to Revoke Wholesale Privileges
The Brand retains full discretion to approve, deny or suspend/terminate a wholesale account at any time. Reasons include MAP violations, brand misrepresentation, failure to meet order minimums or policy breaches.

11. Governing Law
This Agreement shall be governed by the laws of the State of California, United States.

12. Acceptance of Terms
By submitting a wholesale application or placing any wholesale order, Retailer acknowledges reading and agreeing to these Wholesale Terms & Conditions.
My Mahjong Trove may revise these terms at any time. Continued ordering after updates constitutes acceptance of the revised terms.
